I am wondering anyone saw Spiderman and the Uncanny Xmen before? I saw it on ebay once before.

That game doesn't exist.  At least not in a "released" or playable form.  I heard about this a few years ago and have looked around since.  Doesn't look like it was ever actually developed.  More than likely this game evolved into Arcade's Revenge.  That image you posted is one of the only images I have ever seen of it.  If you saw one on ebay it was probably Spider-Man and Xmen arcades revenge with a fake box or label.

Not to mention the images used forthat box predate the SNES by more than a few years, so it is highly unlikely that this was ever meant to be an actual cover for a Super NES game.  If it ever was legit, it was a placeholder at best.  
By the time this game would have been developed, the McFarlane Spider-Man image was king, and while Jim Lee's X-Men hadn't yet emerged, they were far more graphically advanced than that.
