Short version:

Computers normally tell time by counting the seconds since 00:00:00 January 1st 1970, UTC.

At 03:14:08 January 19 2038, any computers using a signed 32-bit integer to keep track of time will run out of digits, flipping over into negative, and resulting in the time being interpreted as 20:45:52 December 13th 1901.
